6.         Failure of Performance

Following online registration to the RCLib, you will be permitted to attempt online access to the RCLib at any time. RC, however, will not be liable for any delay, downtime, transmission error, software or equipment incompatibilities, force majeure or other failure of performance. RC will use commercially reasonable efforts to correct any material performance problem brought to its attention and may suspend performance pending such correction.

7.         Duration of the RCL Terms

The RCL Terms will become effective upon online registration for access to RCLib, and, subject to the RCL Terms, will remain in effect while you maintain a current User ID and Password to the RCLib.

8.         Termination and Breach

8.1.       The RCL Terms will terminate if you choose to terminate your access to the RCLib.

8.2        RC shall also be entitled to terminate the RCL Terms by serving you written notice if you are in breach of any of these terms and conditions and in the case of a breach which it is possible to remedy, you have not remedied the breach within thirty (30) days of receiving notice from RC specifying the breach.

9.         Warranties and Liability

IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF RC FOR ANY CLAIMS, LOSSES OR DAMAGES ARISING OUT OF ANY BREACH OR TERMINATION OF THE RC TERMS EXCEED THE TOTAL AMOUNT PAID BY YOU TO RC IN THE YEAR DURING WHICH SUCH CLAIM, LOSS OR DAMAGE OCCURRED.

9.3        The foregoing limitation of liability and exclusion of certain damages shall apply regardless of the success or effectiveness of other remedies. No claim may be made against RC unless suit is filed thereon within one (1) year after the event giving rise to the claim.

10.        General

10.1.     The RCL Terms constitute the entire agreement between you and RC and supersedes any prior communication between you and RC with respect to the subject matter hereof. The headings used in the RCL Terms are for convenience only and are not to be considered in construing the content of the RCL Terms. Subject to termination under Section 8, the RCL Terms may be amended from time to time by RC. Where amendments are made, RC will send notice to you of changes in the RCL Terms.
